You can copy shutdown.exe from an XP system and it will work. 

Whatever the motherboard reports as "CPU temp" I prefer to make sure that
number is at least 10C below the max operating temp spec'd for the
processor.  AFAIK that is an on-chip sensor.

You can figure out the max spec temp for your CPU chip by looking up the
number stamped on the processor (typically starts with AXDA2200 or similar).

I've got my new XP-2200+ cpu installed and running. I have 
installed SpeedFan to keep an eye on the temperature and need a 
program that SpeedFan can call to shut down the computer if the 
temperature gets too high. Any suggestions? I'm running Win2k.

Also does the XP-2200+ have an internal temp sens diode and how 
do I know if the  motherboard reports that temp or the temp from 
the thermistor under the CPU socket?
