I'd say yes - clean install is better But if you must, first clone the 2K onto a separate drive, then upgrade that.
and,I assume you are talking about XP Pro Don't forget to install the Recovery console, ensure you have an admin user, reasonable passwords and remove 'Administrator' However - if you do an upgrade on the clone, then you can always re-do it as an initial install, or do a clean install of a maintenance OS instance over the original 2K But - first, the fun - perhaps set classic modes on the desktop display - and see how much of your 2K setup didn't quite transfer to XP.
