Tushar Kothari, vice president of new business ventures at Cisco, said
Thursday that he expects a modest portion of the existing Cisco partner base
will add Linksys products to their solutions portfolios. Given that these
companies generally focus on different market segments than most of the
existing Linksys partners, it isn't likely that this activity will result in
significant channel conflict.

"Linksys is a very successful leader in [the SOHO market,] so we are very
proud to have teamed up with them," said Kothari, who added that he will
soon join the Linksys management team.

The real trouble with buying Linksys is that Cisco doesn't exactly know how
to run a consumer goods company. Indeed, it might have been better for
Linksys to sell to Proctor and Gamble rather than Cisco: the similarities
between selling toothpaste and soap and low-end networking gear is a lot
better than selling low and high-gear products. They really are two
different animals. Maybe Netgear should get into selling toothpaste and
soap, at least home networks might be cleaner. Or maybe P&G should consider
Netgear now.

Cisco Thursday announced a definitive agreement to acquire privately held
Linksys Group, a leading provider of wired and wireless network products for
consumers and small office/home office users, for $500 million in stock.

The acquisition represents Cisco's entry into the high-growth consumer/SOHO
market, which is expected to grow from $3.7 billion in 2002 to $7.5 billion
in 2006 worldwide, the company says, citing data from Dell'Oro Group and
Synergy Research. Home networks allow consumers to share broadband Internet
connections, files, printers, digital music, photos, and gaming over a wired
or wireless LAN.

Officials of Cisco Systems Inc. said today they plan to buy home and small
office networking vendor The Linksys Group Inc. of Irvine, Calif. The move
marks Cisco's first foray into the burgeoning market for wired and wireless
networking gear for consumers and SOHO (small office/home office) users.

According to officials, Cisco will issue common stock worth $500 million to
acquire Linksys.
