NETFX 4.0 is side-by-side with NETFX 2.0. My understanding is that the separate GAC ensures they are actually side-by-side. AFAIK, the Windows Installer calls the appropriate APIs that know how to put the assemblies in the correct places.
I've not heard of any problems installing. Loading, on the other hand, is tricky (we've had a number of bugs in DTF and Burn related to not loading the new 4.0 assemblies).
