Yup, that's fine - for HTML4.
You might, however, like to look at standardising your tags in lower case - you currently have a mix of upper and lower, and while this won't cause problems with your HTML 4.01 Transitional DOCTYPE, if you ever want to 'upgrade' to XHTML, you'll need to change all your tags to lower case. Save yourself the work later, and do it now...
