I had similar problem with 3com NIC about two years ago.
It worked more-or-less stable with 2.2 kernel, _only_if_I_previously_fully_powered_off_ with 2.4 kernel and _every_second_ time with windows (reboot-reboot-reboot-reboot :))) ).
The most curios that I can reboot into linux any number of times but "windows counter" never missed and required to reboot if previous windows boot was successfull.


This NIC worked fine in any other computer and other NICs show the same behaivoir sometimes in this machine.

I'm sorry if this info will be missleading.
