I went and looked at the git log detail of the net_device_ops change (
commit d314774cf2cd5dfeb39a00d37deee65d4c627927
Author: Stephen Hemminger <shemmin...@vyatta.com>
Date:   Wed Nov 19 21:32:24 2008 -0800) and it was introduced in 2.6.28, 
actually.  But we are both right! The change allows for optional backward 
compatibility, while emitting a warning. The default is yes: 
So I left it at 'yes' (fedora 11 vendor kernel in one of my boxes, custom 
kernel on the other box, but I normally just do 'make oldconfig', so I 
inherited the default) in both of my boxes. 

It seems that you have opted for 'no' manually, so you needed to migrate to the 
net_device_ops api structure right away. Interesting differences - same source 
tree, just different kernel build options. Mystery solved. :-)
