You aren't using python2.5 by any chance, are you?

My installed version was 0.6a9. I used the ez_setup.py from http://peak.telecommunity.com/DevCenter/EasyInstall#installing-easy-install to upgrade to 06c5.
With a new version of setuptools, I did a 'make clean' on my zenoss source and ran install.sh until completion - well at least I no longer have dependency problems,
