The biggest distinction that I know of is that the devices you put in Systems are summarized on the dashboard, while groups are not.

Systems and groups are just organizers and different people use them in different ways. Some people use "Systems" to organize devices into an organizational unit (e.g. Accounting, Bizdev, CRM). Some people use "Groups" to organize devices based on function (e.g. Database, WebServer, ApplicationServer).
