Zenoss uses heartbeats to make sure its own processes are responding, I think this is going to change up in 2.2 a little. I've had problems with false heartbeats before though. Very annoying.
Go to settings, and make sure all your daemons are started, and perhaps look at the log of the one reporting a heartbeat failure. So yes, you should pay attention to it.
