I am experiencing the same issue. Upgrading from zenoss-2.1.3-0.el5.x86_64.rpm 
on Centos 4.6 . The preinstall section in the rpm spec file seems to be at 
fault. I don't think it like the fact the there are files in /opt/zenoss.

I tried removing 2.1.3 with rpm -e and installing 2.2 again but 2.1.3's files 
are still in /opt/zenoss (not cleaned by rpm -e) and the install of 2.2 still 
fails.
