Both way are correct.

rhn-proxy stop && yum upgrade
would work most time, but upgrading those config files can be sometimes tricky.

So the recommended way is to use:
/usr/sbin/configure-proxy.sh \
        --answerfile=file.from.your.last.installation.txt

It will do some redundant steps, but it is fastest and safest way to do the upgrade.
