Ethically the answer is "No", its one installation disc to one PC.  You could 
ask Microsoft for a licence, but that might cost as much as an upgrade, or 
more.  On the other hand, although we wouldnt be associated with having 
recommended it, we know it does happen.  When someone with a pirate O/S needs 
to download updates it is possible that, more and more, Microsoft will require 
us to validate our O/S
