I would like to only add a few points As regards One Person Company or OPC, it is a great option if there is only one proprietor and the business is on a considerably smaller scale. The compliance requirements are lesser as compared to other private companies. However there are threshold limits i.e turnover upto Rs. two crores and paid up capital of upto fifty lakhs which if exceeded , you will have to compulsorily convert into a private company. Also OPC is not a wise option if you hope to enter into collaborations or make or receive investment in future as they are prohibited. As regards LLP,it is good for professional firms such as advocates, CAs, CS etc. For normal business private company is much better option. To incorporate a private company there should be at least two members( shareholders ) and two directors There was a requirement of minimum paid up capital but that has been done away with. . The advantage of incorporating a company is that it being a separate legal entity, it can enter into contracts in its own name. Also the members have limited liability. It is also useful if you are looking at brand building or developing intellectual property in future.
