Rick u r very right. 
exactly this is how our exchange is working. we have
one exchange 2K, a w2k DC, a W2K Additional Domain. 
now i want to have a backup of exchange. other than
clustering, what could be the solution. 
(also regarding clustering, could u suggest me a site
for detailed info.)
