OK, here's the definitive answer. Trust me on this - we are living this scenario.
 
You do NOT need any of your domains to be native to install E2K.
 
HOWEVER, if you use distribution lists to grant security on either public folders or individual mailboxes, said distribution list MUST be a universal SECURITY group, and they are only possible in NATIVE mode domains.
 
Clear? Exchange (including distribution lists) will work just fine without any native mode domains, but you will not be able to use DLs to grant security.
 
One popular out for people who aren't ready to take their main domain native is to create another domain in the forest, make it native, and configure the ADC connection agreement to replicate the MSX 5.5 DLs to this new domain. This works (and is indeed what we did). It does have one big gotcha: your users will no longer be able to maintain DL membership via outlook. They will either have to use ADUC, or use a custom tool (such as Microsoft's super whiz-bang DL tool - can't think of it's name right now).
 
Why is this so? Basically, outlook talks to global catalogs for all of it's user and DL info. It turns out that GCs keep a read-only copy of membership for groups outside it's domain. This isn't strictly true, but close enough for the purposes of this discussion.
 
I ended up writing a perl CGI application that uses Net::LDAP to give end users the ability to maintain their distribution lists.  I'd be happy to share it if anyone would like it.
