It’s got a GIG of RAM, so that should be enough.  Our AD environment isn’t that complex.

Do you have enough memory in the DC?

So, I'm going to be upgrading my Win2K domain to Win2k3 and I need to run ADPREP before I can add a Win2k3 server.  Well when I run ADPREP I get a "Program too big to fit in memory" error and that's it.  I've tried rebooting the DC before running ADPREP, and even tried moving the FSMO roles to another machine and I get the same error.  The user I'm using has all the proper rights, so that shouldn't be the problem.  Anyone have a clue what's going on?  Thanks.
