You should dcpromo the old win2k server afterwards to remove it as a DC and then remove it from the domain. You may have already planned on doing this you just didn't mention it :)

They want to get rid of the old server, so I intend to migrate as follows, and just want to make sure this is correct: 1.
On the Win2K server, run adprep
