If you want to write tracks to an audio CD, you'll need Audition since Soundbooth won't do it all (at least I couldn't figure out how to do it). I don't know what else Audition does over Soundbooth, but Audition doesn't seem to be actively promoted by Adobe any more (the last web site update they show is a year ago).
