I have no reference statement for you. For Hyperthreading and multi cores you need to buy a license for each physical processor.
I am not certain about Vmware, but I would make the assumption that instead of number of processors it is based on each addressable machine and a minimum of 1 processor each. I would contact the sales rep for additional information.
