Most likely, you're having problems because W2K3 has DOTNET Framework v1.1, whil VS2002 uses v1.0. As the other poster suggested, you can either install an a previous OS, install VS2002, then upgrade to W2K3, or fork over the $29 upgrade for VS2003.
