I agree with Phil, pricing is a key issue. Furthermore, unless Amazon can get their app pre-installed onto devices, then it's going to be limited. After all, not many people will know to go to the Market app to download another market app.
Also, I hope they don't make the mistake Apple just made with the crApp store for Macs.
