I think battery life is also a huge differentiator. While Android is designed for small screen devices and won't show you multiple applications at a time. ChromeOS, I assume, has stuff to show you information from a lot of running "apps" all on the screen at the same time. Sure, Android could be modified in this way eventually, but that is a differentiator for now.
But I think the battery life concern is much more of a differentiator. Everything in Android is based on conservation of battery. Whereas ChromeOS is just designed to be speedy and trim in general. Android is designed for devices that are always on, but not always looked at, whereas I think ChromeOS is designed for machines that are asleep or off when not being looked at.
