Section 404 is a requirement under Sarbanes-Oxley but when the SEC implemented SarbOx that expanded the requirement beyond Section 404. These SEC requirements are on the Board Audit Committee but the Company is responsible for implementing them. It is valuable to understand how SarbOx and the SEC interrelate.

Wanted to let everyone know that Protiviti Consulting has recently put on their website "Guide to the Sarbanes-oxley Act: Internal Control Reporting Requirements - FAQs Regarding Sec. 404."  It can be found under Hubs, Sarbanes-Oxley.  It's about 70 pages and covers pretty much everything companies need to do.
