Section 404 is a requirement under Sarbanes-Oxley but when the SEC
implemented SarbOx that expanded the requirement beyond Section 404. These SEC
requirements are on the Board Audit Committee but the Company is responsible for
implementing them. It is valuable to understand how SarbOx and the SEC
interrelate.
