A few weeks ago another user reported the same thing which is an
internal checking in vdir.c. His cause seemed his mis-configuration 
about CONFIG_AUFS_LHASH_PATCH.
I suggest you to check your configuration.

And please select your kernel and tell me where I can get its source
code. Currectly I guess something around umount was changed by ubuntu
people and it caused your umount problem.
I could not reproduce your problem on plain linux-2.6.17.
