just sended you off line an example of valid mtl+obj file.
I'm mac based, so I can't run max to test, but I can't imagine such reknown app is not able to export a valid mtl file...

resolvedurl[urls stored in mtl per materials]

make also sure the mtl url located at line 2 of obj coorespond to mtl file url
