I'll try to get the entire document posted online somewhere. This document should be on the BFW web page for ready reference but I can't find it. Kind of funny that the copy I got says, "adopted August 8, 2008" Pam Bylaws of the Bicycle Federation of Wisconsin Education Foundation, Inc Adopted August 8, 2008 ARTICLE II - ACTIONS BY MEMBERS Section 1. Election of Directors by Mail Ballot. Elections of members of the Board of Directors shall be conducted by postal mail ballot. The ballot shall contain instructions for voting by mail ballot and shall set forth the names of the person or persons nominated by the Nominating Committee. The ballot shall also contain a number of blank spaces equal to the number of directors to be elected so that members may vote for persons other than Nominating Committee nominees by writing the names of those persons on the ballot. The Secretary shall present at the annual meeting all ballots received by the Secretary and shall announce the results of the election. Photocopies of ballots, if executed with an original signature of a member, shall be treated as valid. Each member, as defined in Article I section 5, shall have one (1) ballot. There is no minimum number of votes to elect a director. The positions to be filled in the election shall be filled by the candidates receiving the highest number of votes; for example, if five (5) positions are to be filled, the five (5) candidates with the highest number of votes shall be elected. Section 2. Other Actions by Members. The members may at any time remove from office with or without cause any person serving on the Board of Directors. Such removal shall be effected by act of the members as provided in Article III, Section 4 at an annual or special meeting of members duly called and held as provided in this Article II. The process and requirements for removal shall be as set forth in Wis. Stat.§181.0808. Section 3. Annual Meetings of Members. The annual meeting of the members shall be held each year at the place, date, and time designated by the Board of Directors for the purpose of transacting business as may be properly brought before the annual meeting. At each annual meeting, the Chairman of the Board of Directors or his designee shall give a report regarding the activities and the financial condition of the Bike Fed. The Secretary shall give notice of the annual meeting by delivering written notice by mail or electronic means stating the place, day and hour of the meeting. The notice shall be mailed not less than thirty (30) nor more than sixty (60) days prior to the annual meeting to all members of record. “Notice by mail” may also include notification prominently placed within a publication distributed by the Bike Fed to members entitled to notification. ---- Steve Goldstein <[EMAIL PROTECTED]> wrote: > The bylaws are still vague.
