It seemed to do the trick, it's not in the system's tray..

I can't thank you enough for those steps, I looked in my ms config thinking 
it was there and it was, but it was unchecked. So I was really at a loss as 
to figure out how/where to find this and make it go away.

That was a rather interesting list of items as for it was 106 of things I 
guess vital to the performance of running one's computer.

I also did some changes within AVG regarding all the updates/scans it thinks 
it must perform every day and that seems to be working better.
