Hello there. First of all, and I say this from experience, Do not just
upgrade to win 7. It is best to do a full reformat and then install it
fresh. Seconmdly if you meanm the one you were talking about before You

With that said, I would seriously consider the implications of buying
used software. You don't know what the person has done with the disk.
You don't know if they have already registered it. you don't know if
its an actual installation disk or a copy of the original. You also
don't know if they have made a copy for themselves. If you are going
to upgrade do yourself a huge favor and simply purchase an upgrade
DVD or a full OEM version both of which will run you about $100.

Here is how you do a clean install of Windows 7 inside Windows XP.
1. Insert your Windows 7 DVD.
2. Click install now.
3. Click "go online to get dynamic updates for setup." I personally
choose not to but Microsoft recommends you do for the latest hardware
drivers and security updates.
4. Accept the software license terms by checking the box. Click next.
5. Click custom (advanced).
6. Select the partition where Windows XP is installed. Click next.
7. Click ok on the next screen.
8. Shortly your system will reboot several times to complete
installation. Eventually "Set up Windows" appears. You can use
Narrator to help you complete this wizard.

You can use an upgrade disk to install Windows 7. However as you
are
on XP you will have to do a clean install. In other words, there
is no
in-place upgrade from XP to Windows 7. This goes for any version
of XP
to any version of Windows 7. Also, if you wish to install
Windows 7 64
bit, a clean install is required regardless of operating system
(unless that is also 64 bit) as you cannot install or run a 64 bit
program on a 32 bit operating system.
