Well, I answered Matt on the CF-Partners list, but I'll respond to Judith
here. :)
Judith, it's a fine line between being a business or not when you work
alone. It has to deal with how you represent yourself. There's no rule that
says you have to use a business name when dealing with others if you are
conducting business under your own name. I use an assumed name under a dba
("doing business as"), as do most sole proprietors, but the "legal" business
name is the same as mine. When you subcontract yourself out to work on a
project, you're doing business under your own name (right?). A primary
distinction for determining whether an operation is a business or not (aside
from having a dba name) is whether you place the proceeds (income) in a
separate business account at your financial institution and how you report
to the IRS. Therefore, depending on how you conduct your "business", I would
submit that you *can* qualify as a consulting partner. Being a single
developer hasn't kept me from being a partner. My advice to you is to
apply - go for it! Make it easy on yourself and go to your county clerk's
office and file for a assumed name (dba) - that way you'll have the option
to use it if you need to.
