This is what's caused the rise of the private equity groups such as
TPG, Bain Capital, Silverlake, Blackstone, et al

Companies like Burger King, Toys 'r' US, Dunkin' Donuts, Bombardier
have all been picked up by PEGs, refurbished, and then sent public (or
will).

For me one of the top issues is separating the CEO and the Chairman.
There isn't enough oversight and board members are generally all too
willing to keep their cozy board seat next to an underperforming CEO.

So I see the problem as one of the board not representing the voice of
the shareholders.
