We may soon switch to Windows Server 2008 on 64-bit hardware.

Currently, I have a couple licenses of CF8 Enterprise running on 32-bit
hardware.

It is my understanding that I can use my same CF8 Enterprise license key
with the 64-bit version of CF8.  I would only need to download the
64-bit version of CF.

Is that correct?

No downsides that we have seen.  The installation on linux or OS X were
no different than the 32 bit versions.  Plus you get to address more
memory per instance (if needed) than you can on 32 bit.
