HI Bob,

My wife is a controller, and she and the 'boss' had to go to court over a 
non-compete clause in an employment agreement.  Since Michigan is an 'at will 
employment state' the judge told them (my wife and former boss) that he can 
not have it both ways.  And, dismissed the case based on the at will 
employment statute.  So, it depends on your state law regarding exempt 
employees.  Hope this helps you.
