this looks like CSCsk88926 (PEMS appear in Failsafe Mode during IOS
image upgrade or power cycle), duplicate of CSCsj91286 fixed in
12.0(32)SY5 and 12.0(32)S9. Which release do you run? Only 12.0(32)SY3
and 12.0(32)S6 should be affected..
