Id ditch the 1004s they wont run the IOS 12.1 I dnt think, Are they dram and flash upgradeable? if they are, they could be used for IOS 12.1, if not Id replace them with some 25xx with 16/16.
As for a set based switch, I used a Cisco 2926T which is basically a 5002, it has all the bits (VLAN, VTP, Trunking, FEC, CatOS and so on) so thats a good start, Cat5000 are great...
