Dear AfriNIC Board,
Africa On Cloud (hereafter referred to as "The Party") wishes to raise formal
objection to the notice of meeting issued for the AfriNIC Annual General
Members meeting.
The notice of meeting is deficient in that:Â
a.) It does not include an ordinary resolution to adopt the financials as is
required by clause 7.6.i of the bylaws
b.) It does not include an ordinary resolution to appoint the auditors as
required by clause http://7.6.iv/ of the bylaws
c.) The notice of meeting indicates the closure of an election which is never
opened on the agenda
As such, while representatives of The Party will be present at the annual
general members meeting, it is under protest as to the irregularity of the
meeting and The Party gives no waiver as to the irregularities cited above.
It refer to section 12.3 of the bylaws
12.3) Any irregularity in a notice of an Annual General Member Meeting shall be
waived where all the members entitled to attend and vote at the Annual General
Members’ Meeting attend the said Meeting without protest as to the
irregularity, or where all members agree to the waiver.
