Found it.  Turns out that the source was MS's own KnowledgeBase[1].   
The fifth bullet item states "You cannot format a volume larger than  
32 gigabytes (GB) in size using the FAT32 file system during the  
Windows XP installation process. ... If you need to format a volume  
that is larger than 32 GB, use the NTFS file system to format it."   
That doesn't mean that you can't have a FAT32 that's larger than 32  
GB, but rather that you just can't do it with Windows XP.  You'll  
have to use some other tool ... like 'mkfs.vfat -F 32' under linux.
