Flac (or more properly flac) will do it. What OS are you using? When you install flac on Windows, it includes FlacFrontEnd, which converts and can set the tags if you stored the files in a semi-rational file structure, such as c:\songs\ with separate subdirectories for genre, artist, and album. So if you have c:\songs\rock\wilco\yankee_hotel_foxtrot all you have to do is drag and drop.
