thanks, did some searches for firewire san and it seems like that's overkill
for me since i really never plan on connecting to the drive using more than
one machine at a time.

however, i found this infomative page about sharing firewire drives between
XP and OSX if others are looking to do something similar.

Does anyone have any experience with mediafour's MacDrive? i'm thinking i
could format the drive in OSX, install macdrive on my PC and everything
would be peachy. anyone do this? ever?

Another option to experiment with is UDF. It is traditionally intended
for optical media, but it can be written to hard-disks as well. I know
at least for Linux such tools exist. I think you definitely have to
partition on the windows box.

Firewire also allows for more than one host at a time to talk to a
given device, you may be able to mount it on more than one machine
read-only, or even read-write on one machine.

Search for "firewire san" for more info on doing this.
