Hello, I had the same problem. Could you be possibly using Visual Source Safe as well? I think (at least for me) this is the key to the problem. Anyway, the solution is (don't bother to re-install .Net there is no need) to delete the <project>.suo file on your local drive and re-open the project.
That should do it. About your 2 versions of VStudio, I haven't heard so far about anyone having problems running the 2 versions on the same machine (colleagues and myself included).
