Patricia,
the American Bar Assoc (www.abanet.org) has a pretty good book on their model TPA agreement.  In my
experience the simpler the TPA the easier they are to get signed (common sense).  I have worked in some
industries where it can take years to get complex lengthy ones to be negotiated and signed.  Usually the TPA
only includes technical issues and not business pricing/terms issues which is not to say the TPA can not have this
information.  Typically the pricing/terms information is addressed in a different document.  If your terms or pricing
change you don't want to have to readdress the TPA.

This is how we do it:

We the contract is negotated we state that not only are these the terms but they have to tansmit that data to us via EDI.  If not EDI some other agree upon electronic transfer means (FTP, XML, Secure E-mail Attachment, CD)  We also explain that The EDI department will require you to sign a TPA, That states that you will pay for your transportation cost and we will pay for ours.  The actuall terms are not transmitted within the document.  Saves on KC Charge.

Could some of you from the list comment or point me to information on "Best
Practices" for communicating Terms & Conditions for EDI purchase orders?  We
have had a request from Merchandising executives that the Terms & Conditions be
sent with every EDI PO.  My understanding is that this documentation should be
an addendum to the trading partner agreement, but since we are having so much
trouble getting partners to sign TPAs, it seems to have become an issue.

I'm sure this may have been discussed at some earlier date, so if someone could
address how to access the archives, that would be welcome as well.

I'd appreciate any information you could share.
