The new one has a big IS logo on the end of the lens cover

The optics are slightly different in that there are the added IS elements,
popular photo tested it in '99 and called the IS version the sharpest 300
f2.8 ever

The IS unit is made from magnesium and is feels about a pound lighter

The IS unit has a removable tripod shoe  (which is nice if you are hand
holding it, and cut weight

The new lens takes a filter adapter that uses 52mm screw in filters which
you can actually buy, compared to the older unit that took 48mm filters and
no one appears to make any more.

(the old holder does fit the new lens but is slightly loose,  never tried
the new holder in the old lens before I sold it.)

The IS lens has 4 buttons at the front for features such as IS control,
focus mode selection etc. when used with a 1v or 3 body.

The IS lens can be focused manually without power being turned on or even
connected to a body  (and with an eye-piece adapter, makes one hell of nice
spotting 'scope)
