Why not just rebuild the existing server?

Hi

I would like to install a second ex2003  server so if our Ex 2003 server
crash, that we ca be up and running within 6 hours max,

My questions : 

1- LEGAL : do we need MS Exchange License for that 2nd server if the
exchange services are closed ? And that sr<erver is doing nothing but just
waiting for the other to crash one day ??

2- If the 1st server crash, and that we restore the Database to the Exchange
2003 Recovery Storage Group on the 2nd server then move mailboxes to the
main database, what about the Outlook that were linked up to the 1st server
name ??? I know that if we move mailboxes to a 2nd server and that if users
open outlook that the servername change will be easy if both server are up,
but in my disaster recovery plan, how can I setup all that so users won't
see that the 1st server is down ???
