The AD must be in Native mode to run ADMT. Basically, you need to make sure you don't have any NT 4 Domain Controllers on your network (PDC or BDC) then flip the switch in AD to run in native mode.
You won't mess with the Exchange Native mode until you have removed your last Exchange 5.5 server from the network.
