Hi If you more than 1GB of physical ram have you performed the steps outlined in MS Article ID:
815372 "How to optimize memory usage in Exchange Server 2003" http://support.microsoft.com/default.aspx?scid=kb;en-us;815372 Like Ed said Exchange will use as much memory as it can, but you will find that you can improve memory usage if you follow the steps outlined in the above article. Exchange uses almost all available RAM to cache content to improve performance. It dynamically releases memory if other tasks require it. Don't worry about it.
