If you're running Compaq Insight Agents, for example, that will lock up the *perf.dll files. The workaround is when you get the sharing violation message box, leave it open, go to Windows Explorer and rename the file to something like msesperf.ini.old, then go back to the message box and click Retry. That has always worked for me.
To avoid this problem, stop all instances of performance monitors, the SNMP Service, Compaq Insight Agents, and any other background system monitors before installing a service pack or hotfix. Even then, it seems like one will hang up and you'll have to use the trick above.
