I do not believe you can install Exchange 2000 on Windows 2003. Windows 2003 runs IIS 6.0, which Exchange 2000 does not support. On the other hand Exchange 2003 can run on IIS 5.0. So the proper upgrade path is upgrade Exchange 2000 first and then upgrade the OS to Windows 2003.
