IMNSHO upgrading to W2K at this point is a waste of time. If you're going to upgrade, upgrade to E2K3. It greatly simplifies the upgrade process from Exchange 5.5 and offers a number of significant enhancement which make it a much more compelling upgrade story than E2K.
