This usually occurs when you run the install and are not one of the accounts listed with "full exchange administrator" permissions. Right click on the organization and choose delegate permissions. See what account is listed and be sure you are using that account to do the install.
Also, there is no need to run Forest/Domainprep if you are installing into the same domain as your other exchange server. It will not hurt anything if you do, though. I thought running forestprep and domainprep on the first server did all the schema changes necessary.......
