I've seen anecdotal evidence (i.e., there are a couple of complaints on the Microsoft forums, but nothing with details) that there could be a loss of folder hierarchy. Test it. :)
I would probably recommend using a tool from either MigrationWiz or BinaryTree or Quest (now owned by Dell). That's what I do when I off-board clients from Office 365 to on-premises Exchange 2010.
